Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Xpat Events ticketing marketplace, including the website at xpat.events and any associated APIs and applications (collectively, the "Service"). The Service is operated by Xpat Events ("we", "us", or "our"). By creating an account, purchasing a ticket, or listing an event, you agree to these Terms.
1. Eligibility and accounts
To use the Service you must (a) be at least 18 years of age (or the age of majority in your jurisdiction), (b) have the legal capacity to enter into contracts, and (c) provide accurate, current information. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@xpat.events of any unauthorized access.
2. Tickets and event purchases
Each ticket purchased through the Service is a limited revocable license from the event organizer to attend the listed event, subject to the organizer's published terms. Tickets are personal and may not be resold, transferred, scalped, used for advertising or commercial purposes, or offered as part of a sweepstakes or promotion without the organizer's prior written consent and our written approval.
Pricing, availability, dates, lineups, venues, and seating are determined and may be changed by the organizer. Where the organizer changes a materially-significant term (e.g. cancels or postpones the event), refund eligibility is governed by the Refund Policy.
3. Organizer terms
Organizers who list events on the Service represent and warrant that (i) they have the full right to sell tickets to the listed event, (ii) all information they provide is accurate and not misleading, (iii) they will comply with all applicable laws including consumer-protection and ticketing regulations in the jurisdictions where they operate, and (iv) they will honor each ticket they sell.
Organizers must complete identity verification (KYC) and merchant provisioning on Xpat.Money before they can collect funds. Funds from ticket sales settle directly into the organizer's custodial wallet on Xpat.Money, less the platform fee disclosed at the time of listing.
4. Payments
Payments are processed by Xpat.Money (a separate financial-technology platform). When you purchase a ticket you authorize Xpat.Money to charge your selected payment method for the total amount displayed at checkout (ticket price + applicable platform fee + taxes, if any). Xpat Events does not custody payment-instrument details; those are collected and stored by Xpat.Money under its own privacy policy.
5. Acceptable use
You agree not to (a) use the Service for any unlawful purpose; (b) reverse engineer, scrape, or attempt to gain unauthorized access; (c) circumvent rate limits or security controls; (d) impersonate another person or organization; (e) post content that is defamatory, infringes a third-party right, or contains malware; or (f) interfere with the Service's operation. We may suspend or terminate accounts at our discretion for violations.
6. Intellectual property
The Service, including its design, branding, and software, is owned by Xpat Events and protected by intellectual-property laws. Event content (titles, descriptions, images) is owned by the respective organizer or their licensors and made available only for purposes of the Service.
7. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the conduct of any organizer, attendee, venue, or third party.
8. Limitation of liability
To the maximum extent permitted by law, in no event will Xpat Events, its affiliates, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party including any organizer; or (c) unauthorized access to or alteration of your transmissions or content. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (i) the total fees you paid us in the twelve (12) months immediately preceding the claim, or (ii) US$100.
9. Indemnification
You agree to indemnify and hold harmless Xpat Events, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your violation of these Terms.
10. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, except where prohibited by mandatory consumer law.
11. Changes
We may update these Terms from time to time. Material changes will be announced on the Service and become effective on the date noted at the top of this page. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
